1. DEFINITIONS AND SCOPE

1.1. Scope of Application

1.1.1. These Terms define the rules for purchasing and using Digital Goods in the SGS HUB service (hereinafter: "Service").

1.1.2. The Terms constitute an integral part of the Service Regulations (Terms of Service) and should be read together with the Regulations, Privacy Policy, and Refund and Complaint Policy.

1.1.3. The Service Provider is SGS HUB PROSTA SPÓŁKA AKCYJNA with its registered office in Kielce, ul. Karola Olszewskiego 6, 25-663 Kielce, KRS: 0001209428, NIP: 9592088699, REGON: 543423042.

1.1.4. Services are not offered to residents of the United Kingdom – these Terms do not apply to persons residing in the UK.

1.2. Definitions

1.2.1. Digital Goods – digital content offered in the Service that is not stored on a tangible medium, constituting digital content within the meaning of:

  • Art. 2 point 5 of the Act of May 30, 2014 on Consumer Rights (for EU users),

  • "Digital Goods" within the meaning of US law.

    1.2.2. Categories of Digital Goods offered in the Service:

2. LEGAL NATURE OF DIGITAL GOODS

2.1. Legal Nature

2.1.1. Digital Goods DO NOT constitute:

  • currency or means of payment within the meaning of banking law,

  • financial instrument,

  • cryptocurrency or investment token,

  • subject of ownership in the traditional sense of property law.

    2.1.2. Digital Goods CONSTITUTE:

  • a limited, non-exclusive, non-transferable license to use specific functionalities or content within the Service,

  • digital content within the meaning of consumer protection regulations.

2.2. User Rights

2.2.1. Acquisition of Digital Goods means obtaining a license to use these contents exclusively within the Service and on the conditions specified in these Terms and the Regulations.

2.2.2. The User DOES NOT ACQUIRE ownership rights to Digital Goods – they remain the property of the Service Provider or its licensors.

2.3. Value Limitations

2.3.1. Digital Goods have no monetary value outside the Service.

2.3.2. Digital Goods are not subject to:

  • exchange for cash,
  • withdrawal in any form,
  • inheritance (except where expressly provided by law),
  • sale or resale outside the Service.

3. PURCHASING DIGITAL GOODS

3.1. Purchase Process

3.1.1. Digital Goods can be purchased via the Service using electronic payments processed by the operator Stripe, Inc.

3.1.2. The purchase process includes:

  1. Selection of Digital Goods in the Service,
  2. Adding to cart,
  3. Verification of cart contents and price,
  4. Providing billing data,
  5. Acceptance of purchase conditions (checkbox),
  6. Payment confirmation,
  7. Immediate delivery of Digital Goods to the Account.

3.2. Prices and Taxes

3.2.1. Prices of Digital Goods are given in PLN (Polish Zloty) or EUR (Euro), depending on the User's settings.

3.2.2. For EEA users: Prices include VAT at the rate applicable to the User's country of residence (VAT OSS system).

3.2.3. For USA users: Prices DO NOT INCLUDE Sales Tax. Applicable state tax will be added at checkout based on the User's billing address.

3.3. Delivery Time

3.3.1. After successful payment processing, Digital Goods are immediately added to the User's Account.

3.3.2. The User receives a transaction confirmation at the email address associated with the Account.

3.4. Consent to Immediate Delivery (Applies to EU)

IMPORTANT – FOR EU CONSUMERS:

3.4.1. Before purchasing Digital Goods, a User being a Consumer:

a) expresses consent to the commencement of the supply of digital content before the withdrawal period expires,

b) acknowledges that by giving this consent they lose the right of withdrawal once the digital content is supplied.

3.4.2. This consent is expressed by actively checking the appropriate box (checkbox) before finalizing the purchase.

3.4.3. The transaction confirmation sent by email contains information about the consent granted and the loss of the right of withdrawal.


4. RESTRICTIONS AND PROHIBITIONS

4.1. Prohibitions regarding Digital Goods

4.1.1. IT IS PROHIBITED TO:

a) Sell, exchange, or transfer Digital Goods to third parties outside the Service,

b) Offer Digital Goods on auctions, forums, marketplaces, or other external platforms (e.g., eBay, OLX, Facebook Marketplace),

c) Purchase Digital Goods from entities other than SGS Hub (such transactions are unauthorized and may lead to loss of Digital Goods without compensation),

d) Use Digital Goods for activities inconsistent with the Regulations,

e) Attempt manipulation, duplication, reverse-engineering, or other interference with the Digital Goods system,

f) Use exploits or bugs in the Service to unauthorizedly obtain Digital Goods.

4.2. Consequences of Violation

4.2.1. Violation of the above prohibitions may result in:

a) immediate revocation of the license for all Digital Goods,

b) suspension or deletion of the Account,

c) forfeiture of the value of Digital Goods without the right to a refund,

d) pursuit of damages by the Service Provider through legal means.


5. LOSS OF DIGITAL GOODS

5.1. Cases of Loss

5.1.1. Digital Goods are lost (license expires) in the event of:

a) Deletion of Account by User – voluntary deletion of the Account results in the loss of all Digital Goods.

b) Deletion of Account by Service Provider – in case of violation of Regulations, in accordance with the procedure specified in the Regulations.

c) Expiration of validity period – for temporary Digital Goods (e.g., temporary ranks, boosts).

d) Termination of Service operations – with a 90-day notice period and the possibility to use Digital Goods during this period.

5.2. Exclusion of Liability

5.2.1. The Service Provider IS NOT LIABLE for the loss of Digital Goods resulting from:

a) User actions or omissions,

b) User's violation of Regulations,

c) sharing login data with third parties,

d) Account hacking resulting from lack of appropriate security on the User's side,

e) purchase of Digital Goods from unauthorized entities.

5.3. No Refund

5.3.1. In case of loss of Digital Goods for reasons specified in point 5.1.1. lit. a-b and 5.2.1., the User is not entitled to a refund of the value of lost Digital Goods nor any other form of compensation.


6. CHANGES AND MODIFICATIONS

6.1. Right to Modify

6.1.1. The Service Provider reserves the right to:

a) modify prices of Digital Goods (changes do not apply to Digital Goods already purchased),

b) introduce new types of Digital Goods,

c) withdraw Digital Goods from sale (without affecting already acquired ones),

d) modify functionality of Digital Goods to the extent necessary for the proper functioning of the Service or resulting from platform development.

6.2. Notification of Changes

6.2.1. Users will be informed about significant changes affecting already acquired Digital Goods via:

  • email notification,

  • announcement in the Service,

  • with at least 30 days notice.

    6.2.2. "Significant changes" are considered:

  • removal of key functionality of Digital Goods,

  • significant limitation of the license scope,

  • changing usage conditions to less favorable.

6.3. User Rights in Case of Significant Changes

6.3.1. In case of significant changes adversely affecting acquired Digital Goods, the User may:

a) accept the changes and continue using Digital Goods,

b) demand equivalent compensation (e.g., other Digital Goods of similar value),

c) demand a refund of a proportional part of the value of Digital Goods (applies to situations where the change significantly limits the possibility of use).


7. DISCLAIMERS AND EXCLUSIONS (APPLIES TO USA)

FOR USERS IN THE UNITED STATES:

7.1. Disclaimer

7.1.1. DIGITAL GOODS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

7.1.2. SGS HUB DOES NOT WARRANT THAT:

  • DIGITAL GOODS WILL MEET YOUR SPECIFIC REQUIREMENTS,
  • DIGITAL GOODS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE,
  • THE RESULTS OBTAINED FROM THE USE OF DIGITAL GOODS WILL BE ACCURATE OR RELIABLE.

7.2. Limitation of Liability

7.2.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SGS HUB SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR PURCHASE OR USE OF DIGITAL GOODS.

7.2.2. IN NO EVENT SHALL SGS HUB'S TOTAL LIABILITY FOR DIGITAL GOODS EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR SUCH DIGITAL GOODS.

7.3. Disclaimer for EU

7.3.1. FOR EEA USERS: Sections 7.1 and 7.2 do not apply to the extent that mandatory national laws provide broader Consumer protection.


8. COMPLAINTS REGARDING DIGITAL GOODS

8.1. General Rules

8.1.1. Complaints regarding Digital Goods should be submitted in accordance with the Refund and Complaint Policy available at: https://sgshub.eu/refunds.

8.1.2. Contact: support@sgshub.eu, subject: "COMPLAINT – Digital Goods".

8.2. Cases of Complaint Acceptance

8.2.1. A complaint will be accepted in the case of:

a) technical error resulting in non-delivery of Digital Goods despite payment confirmation,

b) defectiveness of Digital Goods preventing their use as intended,

c) significant discrepancy between the description and actual functionality of Digital Goods.

8.3. Deadlines

8.3.1. The Service Provider considers complaints regarding Digital Goods within 14 days of their receipt.

8.4. Method of Realization

8.4.1. In case of accepting a complaint, the Service Provider will:

a) restore the lost or defective Digital Goods, or

b) offer equivalent compensation in the form of other Digital Goods, or

c) make a refund (if restoration or compensation is not possible).


9. RIGHT OF WITHDRAWAL – SUMMARY

9.1. For EU Users

9.1.1. In principle, Consumers are entitled to a 14-day right to withdraw from the contract.

9.1.2. HOWEVER – in the case of Digital Goods delivered immediately upon purchase, this right EXPIRES upon delivery, provided that the Consumer:

  • expressed consent to the commencement of performance before the withdrawal period expired,

  • was informed about the loss of the right of withdrawal.

    9.1.3. Detailed rules are specified in the Refund and Complaint Policy.

9.2. For USA Users

9.2.1. ALL SALES OF DIGITAL GOODS ARE FINAL.

9.2.2. Refunds are granted only at SGS Hub's sole discretion in cases of technical defects or duplicate charges.


10. FINAL PROVISIONS

10.1. Integrity of Documents

10.1.1. These Terms constitute an integral part of the SGS HUB Terms of Service and should be interpreted together with the Regulations, Privacy Policy, and Refund and Complaint Policy.

10.2. Governing Law

10.2.1. In matters not covered by these Terms, the provisions of Polish law apply, subject to the mandatory provisions of the Consumer's national law.

10.3. Changes to Terms

10.3.1. The Service Provider reserves the right to change these Terms with 14 days notice.

10.3.2. Changes to Terms do not affect Digital Goods acquired before the changes entered into force.

10.4. Language

10.4.1. In case of discrepancies between different language versions of these Terms, the Polish version shall be binding.
